Welcome to suburban.com.hk (the “Site”). These Terms of Use/Terms & Conditions (the “Terms”) constitute a legally binding agreement between you and Suburban (trade name: Suburban), with registered address at 2B Ilardo Building, 72 Hoi Yuen Road, Kwun Tong, Kowloon, HKSAR (“Suburban”, “we”, “us”, “our”). By accessing, browsing, or using the Site, you agree to be bound by these Terms and by any policies referenced herein, including our Privacy Policy. If you do not agree, please discontinue use of the Site immediately.

We may update these Terms at any time by posting a revised version on the Site. Your continued use of the Site constitutes acceptance of the updated Terms.

1. Eligibility and Account

1.1 Age Requirement. You represent and warrant that you are at least 18 years old, or are using the Site under the supervision of a parent or legal guardian who accepts these Terms on your behalf.

1.2 Account Security. You are responsible for maintaining the confidentiality of your account login details and for all activities conducted under your account. You must promptly notify us of any unauthorized access or security breaches.

2. License and Acceptable Use

2.1 Limited License. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial shopping purposes.

2.2 Prohibited Conduct. You agree not to:

  • reproduce, copy, distribute, sell, or exploit any part of the Site without our written consent;

  • upload unlawful, defamatory, obscene, or infringing content;

  • transmit viruses, malware, or other harmful code;

  • interfere with the Site’s security or operations.

2.3 Suspension or Termination. We may suspend or terminate your access where we reasonably believe that these Terms or applicable law have been violated.

3. User Content

3.1 Responsibility. You are solely responsible for the content you post or submit (“User Content”). You warrant that you own or control all rights necessary to grant the license below and that your content does not infringe the rights of others.

3.2 License. By submitting User Content, you grant Suburban a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, adapt, publish, and display such content for legitimate business purposes.

3.3 Moderation. We may remove or edit User Content at our discretion.

4. Intellectual Property

4.1 Ownership. All content on the Site, including text, images, graphics, logos, icons, designs, audio, video, and software (the “Content”), is the property of Suburban or its licensors and is protected by copyright, trade mark, and other intellectual property laws.

4.2 Trade Marks. “Suburban” and related names, logos, and trade dress are trade marks of Suburban. You may not use our marks without prior written consent.

5. Privacy

Your use of the Site is governed by our Privacy Policy, which complies with the Personal Data (Privacy) Ordinance (Cap. 486). Please review it before using the Site.

6. Orders, Pricing, and Payment

6.1 Contract Formation. Product listings are invitations to treat only. A binding contract is formed when we confirm your order or dispatch the goods.

6.2 Accuracy. We aim for accuracy but may correct errors in product details, pricing, or availability. Orders placed with incorrect information may be cancelled. If payment has already been made, a refund will be processed.

6.3 Currency. Prices are listed in Hong Kong Dollars (HKD) unless otherwise stated.

6.4 Payment. By placing an order, you represent that the payment details provided are valid and authorized.

7. Shipping, Delivery, and Risk

7.1 Shipping. Delivery timelines are estimates and not guaranteed.

7.2 Risk and Title. Title passes to you upon full payment. Risk of loss or damage passes upon delivery to you or your designated recipient.

7.3 International Deliveries. For orders outside Hong Kong, you are responsible for compliance with local laws, as well as duties, taxes, and customs clearance.

8. Returns and Exchanges

8.1 General Policy. Unless expressly stated otherwise by Suburban in writing, all sales are final. We do not accept returns, refunds, or exchanges once merchandise has been dispatched, except as required by Hong Kong law.

8.2 Customs Holds. If merchandise is held by customs in Hong Kong or any destination country, Suburban will not issue a refund, replacement, or exchange while the goods remain with customs. We must wait for customs to either:

  • release the parcel to the recipient, or

  • return the parcel to Suburban.

Only upon such clearance or return will we address the matter in accordance with our obligations.

8.3 Statutory Rights. This policy does not affect your non-excludable statutory rights under Hong Kong law, including the Sale of Goods Ordinance (Cap. 26) and the Supply of Services (Implied Terms) Ordinance (Cap. 457).

9. Disclaimers

The Site and its Content are provided “as is” and “as available”. Except as required by law, Suburban makes no warranties of any kind, express or implied, regarding the Site, its operation, or the products listed. We do not guarantee uninterrupted or error-free service.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Suburban shall not be liable for indirect, incidental, special, punitive, or consequential damages;

  • our total liability for any claim shall not exceed the amount you paid for the product giving rise to the claim.

Nothing excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Termination

We may suspend or terminate your account or access to the Site immediately if you breach these Terms. Termination shall not affect accrued rights or obligations.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts.
